Based on our experience, it is clear that most business owners simply have no idea how to begin when they decide to sell their business. The process often begins by default when they are contacted by a business broker who convinces them to list their business. In fact, it is not uncommon for the business to be listed, a deal negotiated and a Letter of Intent signed before the owner ever gets any advice from their CPA and attorney.

Unfortunately, the deal is often off track from the beginning. That’s because most business brokers just don’t have the knowledge, training and experience to provide the professional representation that’s required to properly handle the sale of a business.

We also know that most business owners are reluctant to get their attorney and CPA involved at this stage. This is completely understandable. Most small business owners don’t want to pay the hourly fees these professionals charge. Further, they simply have no appreciation of the complex interplay of legal, tax and financing issues that inevitably arise and need to be properly addressed in structuring a successful deal.

A well-prepared Confidential Business Profile is essential to enable buyers to understand and appreciate the potential of your business and will facilitate the marketing process.

We will utilize a number of internet sites to be sure your business has exposure to the largest possible number of buyers. Interested buyers are screened to determine that they are qualified and must sign a Confidentiality Agreement.

When a serious buyer is identified, we will begin negotiations to structure the best deal possible for you. This is often a sensitive and difficult stage. Our role is to utilize our knowledge and experience to help the negotiations proceed in a fruitful manner. With our legal and accounting knowledge, we find we are able to play a key role in this process, something most business brokers simply can’t do.

When price, terms and key points are agreed upon, we will prepare a Letter of Intent summarizing the transaction. A well-prepared, detailed Letter of Intent will greatly facilitate the process of entering into a Purchase and Sale Agreement and closing the sale. We will then draft a Purchase and Sale Agreement with terms that protect you.

Private Equity

The single most common reason business deals don’t come together is a lack of investment capital. Often the equity that a buyer has together with the limited bank financing typically available is not adequate to finance small and mid-market deals. This is true even when the buyer has superb business management experience and the seller is an established, profitable company. As a result, both parties are frustrated.

We are currently forming a private equity buy-out fund to meet this need. We intend to raise equity capital from investors to fund small and mid-market business acquisitions. Target companies must have a proven track record of profitable operations with an established management team and the buyer must have extensive management experience. The goal of the private equity fund will be to provide the financing to make these deals happen.
